Introduction

Welcome to Nuvio OÜ (“Nuvio”, “We”, “Us”). These Terms of Use ("Terms") govern your use of Nuvio's financial tracking and analytics platform (“Service” or “Platform” or “Application”) which is provided via this website (“www.nuvio.io”) and sub-domains of this website. By accessing and using our services, you agree to these Terms in full. 

These are your legal rights and obligations, so please read everything. If you can’t agree to our terms, then you can’t use our services.

These Terms constitute a binding contract between you and Nuvio OÜ. We may update these Terms at any time without prior notice. Such changes will be effective immediately upon posting the revised Terms on our website. We encourage you to review these Terms periodically to stay informed of any changes. Your continued use of Nuvio’s services after any changes to the Terms signifies your acceptance of the revised terms.

Joining and Using Nuvio

  1. Subscribing to Nuvio: To use Nuvio’s services, you must create an account and subscribe to one of our plans. The subscription process involves providing accurate and current information about yourself and your business entity, and agreeing to our terms. By subscribing to Nuvio, you affirm that you have the authority to bind yourself or the business entity you represent to these Terms.

  2. Roles and Responsibilities: When you create a Nuvio account, you become the 'Account Holder'. As an Account Holder, you may invite other users, who will have different levels of access and permissions based on the roles you assign. It's important to understand that the Account Holder is responsible for all activity that occurs under their account.

  3. User Access and Security: You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account. Nuvio is not liable for any loss or damage arising from your failure to protect your account information. If you suspect any unauthorized use of your account, you must notify Nuvio immediately.

  4. Right to Use Nuvio’s Services: Subject to these Terms, Nuvio grants you a non-exclusive, non-transferable right to use its services. This right is solely for the purpose of managing and analyzing your business financials. Any unauthorized use or duplication of our services without Nuvio’s express written permission is strictly prohibited.

  5. User Conduct: While using Nuvio's platform, you agree to comply with all applicable laws and regulations. You are not permitted to use Nuvio’s services for any unlawful or fraudulent activities, nor to infringe on the rights of others.

  6. Modifications to Service: Nuvio reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of the services. We also regularly expand our services. For new or updated services, there might be additional terms. We’ll let you know what those terms are before you start using those services.

  7. Termination of Use: Nuvio may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the services will immediately cease. 

Pricing

  1. Subscription Pricing: Nuvio offers various subscription plans for its services, with prices that may vary based on your country or region. The specific pricing and features of each plan are detailed on our Pricing Page. We reserve the right to adjust our pricing for any of our services. Any price changes will be communicated to you in advance.

  2. Trial Subscriptions: When you first sign up, you can opt for a free trial, based on the terms specified at the time. If you choose to continue using our services after the trial, you’ll be billed when you add your billing details into our services. If you choose not to continue using our services following a trial and do not provide your billing details, your access to our Platform will be terminated at the end of the free trial period.

  3. Billing and Renewal: Subscriptions are billed in advance on a recurring, periodic (monthly or yearly) basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription through your account settings.

  4. Taxes: The subscription fee does not include taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties associated with your subscription.

  5. Additional Services: Depending on where you’re based and how you use our services, we may offer additional services beyond the standard subscription. These services may incur additional fees that we’ll let you know about when you sign up for those services.

  6. Payment Terms: By providing a payment method, you authorize Nuvio and its payment processor to charge you subscription fees at the current rate to your payment method. If your payment fails, we may suspend your access to our services. So please make sure to keep your billing information up-to-date all times.

  7. Refunds and Cancellations: All payments to Nuvio are non-refundable except as expressly provided in these Terms. You may cancel your subscription at any time through your account settings, but you will not receive a refund for any portion of the subscription fee paid for the then-current subscription period. If you cancel your subscription before the end of your subscription period, you may use our platform until the end of your subscription period.

  8. Changes to Pricing Plans: Nuvio reserves the right to modify, add, or remove pricing plans, features, and services at any time. Such changes will be effective at the start of the next billing cycle and we will give you prior notice of such changes.

Data Use and Privacy

  1. Your Data: As a Nuvio user, you will input, upload or generate various types of data, including but not limited to financial records, transaction details, and personal information. We don’t own that data but you grant us a license to use, copy, transmit, store, analyze, and back up all data you submit to us through our services, including personal data of yourself and others, to: enable you to use our services; improve existing services; create new services. This includes using your data for financial tracking, analytics, providing AI-powered insights, and enhancing user experience. We may also use your data to communicate with you about your account, system updates, or product offers.

  2. Use of Your Own Personal Data: We respect your privacy and take data protection seriously. In addition to these terms, our privacy policy sets out in detail how we process your own personal data that you enter into Nuvio, like your name and email address.

  3. Data Privacy and Security: Nuvio is committed to protecting the privacy and security of your data. We implement industry-standard data security measures to protect against unauthorized access or use. Your data is stored in secure servers and is accessible only to authorized personnel.

  4. Sharing of Data: Nuvio will not share your data with third parties except as required by law, or with your consent. In cases where we partner with third-party service providers for additional functionalities, we will ensure that they adhere to comparable security and privacy standards.

  5. Data Retention: Nuvio retains your data as long as your account is active and for a reasonable period thereafter in case you decide to reactivate your services. If you wish to delete your data, you can request this by contacting us at  help@nuvio.io.

  6. Your Consent: By using Nuvio’s services, you consent to our collection, use, and sharing of your data as outlined in these Terms and our Privacy Policy. You have the right to withdraw your consent at any time, but this may affect your ability to use certain features of our services.

Confidential Information

  1. Definition of Confidential Information: Confidential Information refers to any data, information, or material provided or disclosed by you during the use of Nuvio's services that is not publicly known. This includes, but is not limited to, your financial records, transaction details, business plans, customer data, and other sensitive information.

  2. Protection of Confidential Information: We are committed to protecting the confidentiality of your information. We employ various security measures, including encryption and access controls, to ensure that your confidential information is not disclosed, altered, or accessed by unauthorized persons.

  3. Disclosure of Confidential Information: We will not disclose your confidential information to third parties unless required by law, or with your explicit consent. In cases where disclosure is necessary to comply with legal obligations, we will take all reasonable steps to notify you in advance, unless prohibited by law.

Security

  1. Commitment to Security: Nuvio is dedicated to maintaining the security of our platform and protecting the data of our users. We’veimplemented industry-standard technical, physical and administrative security measures to guard against unauthorized access, alteration, disclosure, or destruction of your personal and business data. While we’ve taken steps to help protect your data, no method of electronic storage is completely secure and we cannot guarantee absolute security. We may notify you if we have reason to believe that someone has accessed (or may be able to access) your account without authorisation and we may also restrict access to certain parts of our services until you verify that access was by an authorized user.

  2. Your Security Responsibilities: As a user of Nuvio, you play a crucial role in keeping your data secure. You are responsible for maintaining the confidentiality of your account information, including your password. We already apply minimum requirements for account passwords but we also recommend that you use strong, unique passwords and regularly update them. You should also be vigilant against unauthorized access to your account. If you realize there’s been any unauthorized use of your password or any breach of security to your account or email address linked to your account, you need to let us know immediately. You also agree not to use free-form fields in any of Xero’s systems or services to store personal data (unless it’s a field explicitly asking for personal data - like a first name or a last name), credit card details, tax identifiers or bank account details.

  3. Account Access and Authentication: Nuvio utilizes advanced authentication methods to ensure that access to your account is restricted to authorized users only. We may employ multi-factor authentication and other security protocols to enhance account security. Where we make the use of security features optional, you’re responsible for any consequences of not using those features. We strongly encourage you to use all optional security features.

Third-Party Integrations

  1. Use of Third-Party Applications: Our platform offers integrations with various third-party applications and services such as multiple currency conversion services or open banking providers to enhance your financial tracking and analysis experience. These integrations allow you to consolidate and manage your financial data more efficiently. By choosing to integrate third-party applications with Nuvio, you grant us permission to access, retrieve, and store data from these applications on your behalf. It is your responsibility to review and understand the terms and privacy policies of these third-party applications before enabling integration.

  2. Limitation of Liability: While Nuvio facilitates integration with third-party applications, we are not responsible for the performance, accuracy, or content of these applications. Our liability is limited to our platform and services, and we do not accept liability for any loss or damage resulting from the use of third-party applications.

  3. User Responsibilities: It is your responsibility to ensure that any data shared from third-party applications to Nuvio OR to third-party applications from Nuvio is accurate and complete. You are also responsible for managing and security of your account settings and permissions related to these integrations.

  4. Discontinuation of Integration: Nuvio reserves the right to add, modify, or discontinue integration with any third-party application at any time without notice. We will make reasonable efforts to inform you of significant changes to the availability of these integrations.

Maintenance, Downtime, and Data Loss

  1. Availability: We regularly perform maintenance on our platform to ensure optimal performance and security. We strive to conduct maintenance during low-usage hours. In the event that maintenance requires downtime, we’ll attempt to notify you in advance but can’t guarantee it.

  2. Unplanned Downtime: In the event of unplanned downtime due to system failures, updates, or other unforeseen circumstances, we will take immediate actions and do our best to restore services as quickly as possible.

  3. Data Backup: While Nuvio employs robust data backup procedures to prevent data loss, we strongly recommend that you regularly back up your data. This ensures that you have access to your information in the event of any unforeseen data loss on our platform.

  4. User Responsibility: It is your responsibility to maintain copies of all your data inputted into Nuvio’s platform. Nuvio is not liable for any loss, corruption, or damage to your data that results from events beyond our reasonable control.

  5. Service Availability: Nuvio aims to provide continuous access to our services but does not guarantee uninterrupted or error-free operation. Service availability may be affected by factors outside our control, including, but not limited to, hardware failures, network issues, and external attacks.

  6. No Compensation: Nuvio does not offer financial compensation for any downtime, data loss, or service interruptions. Our liability is limited to providing support and restoring service functionality as promptly as possible.

Acceptable Use Policy

  1. Purpose of the Policy: This Acceptable Use Policy outlines the standards and rules for using Nuvio OÜ’s services. Our aim is to ensure a safe, reliable, and legal environment for all our users. Violation of this policy may result in suspension or termination of your access to our services.

  2. User Responsibilities: As a user, you are responsible for your conduct on the platform and for any content you upload or share. You agree to use the services in compliance with these rules and all applicable laws and regulations.

  3. No-charge or beta services: Occasionally we may offer a service at no charge – for example a beta service, or a time-limited trial account. Because of the nature of these services, we do not take any responsibility during the use of those services. So you use them at your own risk.

  4. When using Nuvio’s services, you must not engage in activities that are:
    - Activities that are fraudulent, illegal, deceptive, or misleading.
    - Posting or transmitting content that is offensive, defamatory, or obscene.
    - Actions that are harmful to others or to Nuvio’s operations. This includes transmitting viruses, malware, or any other harmful code.
    - Violating the intellectual property rights of others, including copying or distributing content without permission.
    - Undermine the security or integrity of our computing systems or networks.
    - Modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer or extract the source code of any part of our services.
    - Resell, lease or provide our services in any way not expressly permitted through our services.
    - Repackage, resell, or sublicense any leads or data accessed through our services.
    - Act in a manner that is abusive or disrespectful to a Nuvio employee, partner, or other Nuvio customer. We will not tolerate any abuse or bullying of our Nuvio employees in any situation and that includes interaction with our support teams.
  5. Enforcement: We reserve the right to investigate and take appropriate action against any user who violates this Acceptable Use Policy. This may include reporting unlawful activity to authorities, removing content, or suspending or terminating service access.

Termination

  1. Subscription Period and Termination by User: Your subscription continues for the period covered by the subscription fee paid or payable. At the end of each billing period, these terms automatically continue for a further period of the same duration as the previous one, provided you continue to pay the subscription fee in accordance with the pricing plan. You may terminate your subscription to Nuvio’s services at any time through your account settings. Upon termination, your account will be deactivated, and you will only have access to your data until your paid subscription end date. After that date you will no longer have access to the services.

  2. Termination by Nuvio: Nuvio reserves the right to terminate or suspend your access to our services at any time, without prior notice, for reasons including but not limited to:
    - Breach of these Terms of Use or any other policies associated with Nuvio.
    - Illegal or fraudulent use of the services.
    - Activities harmful to Nuvio or other users.
    - Fail to pay subscription fees.
  3. Effects of Termination: Upon termination, all your rights under these Terms will cease immediately. Nuvio is not obligated to provide access to any data or content you uploaded to the platform after termination. We recommend that you ensure all necessary data is backed up or exported before terminating your account.
  4. No Refunds: Termination of your account does not entitle you to any refunds of subscription fees, whether termination is initiated by you or by Nuvio.
  5. Retention of Data: After termination, We retain your data for a period of time during which, as a subscriber, you can reactivate your subscription and once again access your data by paying the subscription fees.

Liability and Indemnity

  1. Disclaimer of Warranties: Our services and all third-party services are provided on an "as is" and "as available" basis. Nuvio expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  2. Limitation of Liability: Other than liability that we can’t exclude or limit by law, our liability to you in connection with our services or these terms, in contract, tort (including negligence) or otherwise, is limited as follows:
    - We have no liability arising from your use of our services for any loss of revenue or profit, loss of goodwill, loss of customers, loss of capital, loss of anticipated savings, legal, tax or accounting compliance issues, damage to reputation, loss in connection with any other contract, or indirect, consequential, incidental, punitive, exemplary or special loss, damage or expense.
    - For loss or corruption of your data, our liability will be limited to taking reasonable steps to try and recover that data from our available backups.
    - Our total aggregate liability to you in any circumstances is limited to the total amount you paid us for your subscription in the 12 months immediately preceding the date on which the claim giving rise to the liability arose.
  3. Indemnification: You agree to indemnify and hold Nuvio OÜ, its officers, directors, employees, and agents harmless, from any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney’s fees) arising from your use of our services or any third-party service.
  4. Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Disputes

  1. Dispute Resolution: Before filing a formal legal claim, we encourage you to contact us directly to seek a resolution. Most disputes can be resolved informally via our customer support team. If we’re unable to resolve your complaint, you and we agree that any disputes arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration or small claims court, using the English language, instead of in courts of general jurisdiction. You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

General Terms

  1. Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between Nuvio OÜ and you regarding the services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Nuvio OÜ and you regarding the services.

  2. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Nuvio’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Nuvio OÜ may freely assign or transfer these Terms without restriction.

  3. Notices: Any notice you send to Nuvio must be sent to legal@nuvio.io. Any notices or other communications provided by Nuvio under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

  4. Waiver of Rights: Nuvio OÜ’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Nuvio OÜ.
  1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our services, and supersede and replace any prior agreements we might have between us regarding the services.

  2. Force Majeure: Nuvio shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Nuvio’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.

  3. No professional advice: Just to be clear, Nuvio isn’t a professional services firm of any sort, and isn’t in the business of giving any kind of professional advice. We may provide you with information and analysis through our services that we think might be useful in running a small business, but this should not be seen as a substitute for professional advice and we aren’t liable for your use of the information in that way.

  4. Amendments to Terms: We sometimes will decide to change these terms of use. Changes to these Terms won’t apply retrospectively and, if we make changes, we’ll make every effort to let you know. You can keep track of changes to our terms by referring to the version and the date last updated at the top of the terms. Generally, we aim to provide you with 30 days’ notice of material changes before they become effective, unless we need to make immediate changes for reasons we don’t have control over. When we notify you, we’ll do it by email or by posting a visible notice through our services. If a change isn’t material, we may not notify you. If you find a modified term unacceptable, you may terminate your subscription by giving the standard advance notice to Nuvio.

  5. Enforcement of Terms: Since Nuvio operates globally, different laws may apply in different countries that restrict our relationship with you. Nuvio reserves the right to take appropriate action for enforcement of these Terms. This may include, but is not limited to, suspending or terminating your access to our services, legal action, or working with law enforcement authorities as required by law. If any part of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

  6. Governing Language: These Terms have been drafted in English. While translations of these Terms into other languages may be provided for your convenience, the English version of these Terms governs your relationship with Nuvio. Any inconsistencies between the translation and the English version, the English version prevails.

  7. Governing Law: Our contracting entities are listed below along with what law and venue apply in any dispute between you and us:
